1. Acceptance of Terms
By accessing or using Invoverge (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
2. Description of Service
Invoverge is a cloud-based invoicing and business management platform that allows users to create invoices, manage clients, track expenses, and process payments. The Service is provided on a subscription basis with various pricing tiers.
3. Account Registration
To use the Service, you must:
- Be at least 16 years of age. Users under 16 are not permitted to create an account (see Privacy Policy §13).
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
You are responsible for all activities that occur under your account.
4. Subscription and Payment
Pricing Plans
- Starter (Free): Limited features, 5 invoices per month
- Professional ($7/month or $67.20/year): Unlimited invoices, AI features, Stripe integration
- Business ($15/month or $144/year): All Professional features plus team access, PayPal, API access
Billing
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as stated in our Refund Policy and applicable consumer-protection law (see Section 4a below for Quebec residents).
4a. Quebec Consumer Protection — 10-day right to cancel
If you are a Quebec resident, the Quebec Consumer Protection Act (§54.1 et seq.) grants you the right to cancel a distance contract within 10 days of receiving a copy of the contract, without cause and without penalty. To exercise this right, email us at support@invoverge.com with your account details and we will fully refund the initial payment.
Price Changes
We reserve the right to modify pricing at any time. You will be notified of any price changes at least 30 days in advance.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to systems
- Interfere with the operation of the Service
- Impersonate any person or entity
- Violate any applicable laws or regulations (including CASL, PIPEDA, and CAN-SPAM)
- Use the Service to send spam or unsolicited communications
6. Intellectual Property & User-Uploaded Content
The Service, including all content, features, and functionality, is owned by Invoverge and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of all data and content you upload to the Service. By using the Service, you grant us a limited, worldwide, royalty-free license to store, reproduce, and process your content solely to provide the Service.
6a. Copyright Notice & Takedown Procedure
If you believe content on the Service infringes your copyright, please send a written notice to support@invoverge.com containing:
- Your contact information and physical or electronic signature
- Identification of the copyrighted work claimed to be infringed
- The URL or other precise location of the allegedly infringing material
- A good-faith statement that the use is not authorized by the copyright owner
- A statement under penalty of perjury that the notice is accurate
We will investigate and, where appropriate, remove infringing content within a reasonable time. Repeat infringers will have their accounts terminated.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
8. Service Availability
We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access and may experience downtime for maintenance, updates, or unforeseen circumstances.
We target 99.5% monthly uptime as an operational goal, without a contractually binding SLA. We are not liable for service interruptions beyond the credit remedy (if any) described in your subscription plan.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INVOVERGE EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Service at your own risk. Nothing in this section limits any consumer rights that cannot be waived under applicable Canadian or Quebec consumer-protection law.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOVERGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total aggregate liability under these Terms shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Invoverge and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.
12. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government orders, labor disputes, failures of third-party service providers (such as hosting, payment processors, or telecommunications), internet outages, or cyberattacks. The affected party will use commercially reasonable efforts to resume performance as soon as practicable.
13. Termination
You may terminate your account at any time through your account settings. We may suspend or terminate your account if you violate these Terms.
Upon termination, you may request export of your data within 30 days. After this period, your data may be permanently deleted, subject to any legal retention obligations.
14. Governing Law & Venue
These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties irrevocably attorn to the exclusive jurisdiction of the courts sitting in the City of Winnipeg, Manitoba, Canada, for the resolution of any dispute arising out of or in connection with these Terms.
15. Changes to Terms
We may modify these Terms from time to time. For any material change, we will provide at least 30 days' advance notice by email to your account address and by posting a notice within the Service. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service before the effective date and may request a pro-rated refund of any prepaid subscription fees.
16. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of our assets, upon notice to you.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the parties' original intent.
18. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, Cookie Policy, and any other legal notices published on the Service, constitute the entire agreement between you and Invoverge regarding the Service, and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
